We would like to advise you personally that Unisource is in talks with International Paper

regarding a possible business combination of Unisource with International Paper’s xpedx

distribution business. Unisource initiated the dialogue, and the parties subsequently signed a

non-binding letter of intent with respect to a potential transaction.

Both Unisource and xpedx are recognized industry leaders that share the goal of serving

customers by delivering the quality products and solutions they need, when and where they

need them. Combining our companies would allow us to expand our geographic reach to

important regions of the world, while improving our supply chain and creating a more capable

and efficient channel to market for our suppliers.

Unisource will continue doing business as usual until the proposed transaction is closed, so

please continue to work with your current contact and do business with us as you have been.

The current talks could result in an agreement to combine the two companies, but if no

agreement on the transaction can be reached, Unisource will remain a private company.

Please understand that since no agreement has been reached, we are not in a position to

discuss any specifics of a possible business combination. Rest assured we will keep you and

your company abreast of plans going forward as new information becomes available and as we

are in a position to discuss them.
